Einride has filed for a proposed NASDAQ listing via SPAC merger.
Swedish freight technology company, Einride, has publicly filed a registration statement with the U.S. Securities and Exchange Commission as part of a proposed business combination with Legato Merger Corp. III.
The transaction, first announced in November 2025, is expected to see Einride list on NASDAQ in the second quarter of 2026 under the ticker ‘ENRD’, subject to customary approvals.
The deal values Einride at approximately $1.35 billion USD ($2.06 billion AUD) and is expected to generate around $333 million USD ($508 million AUD) in gross proceeds. This includes $113 million USD ($173 million AUD) from an oversubscribed private investment and $220 million USD ($336 million AUD) held in trust by Legato, before redemptions and transaction costs.
Einride’s Freight-Capacity-as-a-Service platform combines electric and autonomous trucks with AI-driven software and charging infrastructure to improve freight efficiency. The company operates a large electric heavy vehicle fleet across North America, Europe and the Middle East, and is expanding its offering to include licensing of its autonomous driving system and fleet management software.
The business reports more than 30 enterprise customers across seven countries and approximately $92 million USD ($141 million AUD) in expected annual recurring revenue from signed contracts, alongside longer-term commercial opportunities exceeding $800 million USD ($1.22 billion AUD).
Financial filings show Einride generated revenue of SEK 457.8 million ($67 million AUD) in 2025, up from SEK 388.4 million ($57 million AUD) the previous year, reflecting continued investment in fleet deployment, infrastructure and technology development.
“This filing marks a significant step as we advance toward becoming a publicly listed company and continue scaling our platform globally,” said Einride CEO, Roozbeh Charli.
“Over the past year, we have expanded our commercial operations, deepened partnerships with leading global shippers, and continued to deploy electric and autonomous freight solutions in real-world environments.”
